Business Environment in Saudi Arabia
Phase 1 (Generation Phase), effective since December 2021, requires all taxpayers to generate and store electronic invoices in a structured format. Manual and handwritten invoices are no longer accepted. Phase 2 (Integration Phase), which began in January 2023, requires businesses to integrate their invoicing systems with ZATCA's Fatoora Portal for real-time transmission and validation. Phase 2 is rolling out in waves based on company revenue. The 23rd wave, covering taxpayers with taxable turnover exceeding SAR 750,000 in 2022, 2023, or 2024, must comply by March 31, 2026. The 24th wave, covering taxpayers with revenues exceeding SAR 375,000, has an integration deadline of June 30, 2026.
Technical requirements are precise. Each invoice must include a QR code containing the seller's VAT number, invoice timestamp, and total amount. A UUID (Universally Unique Identifier) serves as a cryptographic stamp, and every invoice must carry a digital signature. For B2B transactions, invoices must be transmitted to ZATCA in real time via API. B2C simplified invoices are generated offline with a QR code and reported in batches. The invoice format must be XML or PDF/A-3 with embedded XML.
Saudi VAT applies at a standard rate of 15%, increased from 5% in July 2020. Zakat, the Islamic wealth tax, applies to Saudi-owned businesses and is calculated on the net worth or adjusted profit base. Foreign-owned businesses pay income tax instead of Zakat. Payroll compliance includes GOSI (General Organization for Social Insurance) contributions, which cover retirement pensions, workplace hazard insurance, and the SANED unemployment insurance program.
